Terms of Sale

These Terms of Sale govern your purchase of products and custom-manufactured assemblies from 123eWireless (“Seller”, “we”). By placing an order, requesting a quote, or accepting a delivery, you (“Buyer”) agree to these terms. If your purchase order contains conflicting terms, these Terms control unless we have explicitly accepted yours in writing.

1. Quotes & orders

Online prices and stock quantities are presented in good faith but may be updated at any time. Quotes from our sales team are valid for 30 days unless otherwise specified. An order is binding when we issue an order confirmation. We reserve the right to decline any order — we'll let you know promptly if we do.

5. Warranty

We warrant that products will conform to the specification on the order confirmation and will be free from defects in material and workmanship under normal use. Standard warranty is one year from the date of shipment unless a different period is stated on the order. This warranty is the exclusive remedy — all other warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.

Warranty does not cover damage from improper installation, misuse, accident, modification, or environmental conditions outside the published specification.

6. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to a sale is limited to the amount Buyer paid for the specific products giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or downtime — even if advised of the possibility.

7. Compliance, export, ITAR

Some products are subject to U.S. export-control regulations (EAR, ITAR, OFAC). Buyer is responsible for compliance with all applicable export laws when re-exporting or transferring products outside the United States. We may refuse to ship to countries, entities, or end-uses that would violate U.S. law.

8. Intellectual property

All product designs, drawings, and engineering data we provide remain our property. You may use them solely in connection with the products you've purchased. Any technical drawings you supply for custom builds are your property — we'll keep them confidential and use them only to fulfill your order.

9. Force majeure

We're not liable for delays or failures caused by events beyond our reasonable control, including but not limited to acts of nature, fire, supply-chain disruption, labor disputes, government action, or pandemic-related restrictions.

10. Governing law & venue

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Orange County, California.
